TermsLast updated 28 October 2026

Octoclip is operated by 8 Ventures Inc. (“Octoclip”, “we”, “us”). These terms apply to every use of Octoclip. By creating an account or using Octoclip you accept them.

What changed on 28 October 2026: Octoclip is now operated by 8 Ventures Inc. Your account, jobs and payouts carry on as before; governing law and venue follow the new operator. Disputes with Octoclip go to individual arbitration, and Octoclip's liability is limited. Collaborations already accepted keep the terms they were accepted with.

These terms contain an arbitration agreement and a waiver of class actions and jury trials. See “Disputes with Octoclip”.

1Accounts

  1. 1.1

You must be 18 or over and use Octoclip only for your business or as an independent professional, never as a consumer. Give accurate information and keep your sign-in secure; you are responsible for everything done through your account.

  2. 1.2

Octoclip may refuse, restrict, suspend or close any account, job, offer or payout at any time, and may end its contract with you at any time by email. Funded collaborations, payouts, refunds and licences continue under these terms.

2Hiring

  1. 2.1

A collaboration is a contract between the brand and the creator only, made of the offer, the brief and these terms. It starts when the creator accepts an offer and the brand's payment is secured. Octoclip is not a party to it, and is not an employer, agent or guarantor of any user, brief or video.

  1. 2.2

Brands. Posting jobs and sending offers is free. When a hire is funded, the brand pays the creator compensation plus Octoclip's platform fee of 18% and any tax on that fee. For a monthly retainer, the brand authorises Octoclip to charge its saved payment method each month on the renewal date shown, until the brand or the creator stops it. The brand is responsible for its products, briefs, claims, billing and tax details being lawful and accurate.

  1. 2.3

Creators. Joining is free. Stripe's payment costs, shown in each offer, are deducted from each payout. Creators are independent and responsible for their own taxes, and must give the tax and identity details the law requires Octoclip to collect; Octoclip may withhold payouts until they do. Each creator promises that every video is their own work, that everyone in it agreed, and that it uses no music or material they have no right to use in advertising.

3Payments, review and refunds

  1. 3.1

Stripe processes payments and payouts under its own terms. Each creator appoints Octoclip as their payment collection agent: a brand's payment to Octoclip settles that amount owed to the creator.

  2. 3.2

A video not reviewed within 5 days is approved automatically. Approval is final. For a video that is not approved or not delivered, the brand gets the creator compensation and the proportional platform fee back, less Stripe costs that cannot be recovered, or keeps it as credit on the same job. Octoclip decides disputes about money it holds, and its decision on that money is final.

  3. 3.3

Octoclip may hold, delay or set off any payment, payout or refund when it suspects fraud, a breach or a chargeback, or when the law or Stripe requires it. A brand that charges back an amount approved or recoverable on Octoclip owes Octoclip that amount and the dispute fees.

4Licences

  1. 4.1

On approval, the creator grants the brand a non-exclusive, worldwide licence without time limit to use, edit and advertise with the video, including the creator's image and voice, itself and through its agencies, but not to resell it. A Creator post stays live for at least 365 days.

  2. 4.2

You grant Octoclip a worldwide, royalty-free licence to host, copy, display and process what you submit to run Octoclip and keep its records. Octoclip may name a brand as a customer unless it objects. Octoclip, its software and its brand remain Octoclip's.

5Rules

  1. 5.1

Do not post anything illegal, infringing, deceptive or harmful; fake engagement or identity; scrape, overload or attack Octoclip; or pay or get paid outside Octoclip. Jobs for tobacco, nicotine, alcohol, gambling, crypto or financial products, weapons, medicines, medical or cosmetic treatments, adult services or political campaigns need Octoclip's written approval.

  2. 5.2

For 12 months after a brand first sees a creator on Octoclip, it may not hire or pay that creator outside Octoclip. If it does, it owes Octoclip the platform fee on what it paid.

  3. 5.3

Report illegal content to support@octoclip.io with its link and why. Octoclip may remove any content, job or account.

6No warranties

  1. 6.1

Octoclip is provided “as is” and “as available”. To the fullest extent the law allows, Octoclip disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. Octoclip does not promise that it will be uninterrupted or error-free, or any sales, views, reach or earnings, and is not responsible for users, their content, AI suggestions or third-party services such as TikTok, Instagram, YouTube, Google or Stripe.

7Liability

  1. 7.1

To the fullest extent the law allows, Octoclip is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Octoclip's total liability for all claims is limited to the greater of the platform fees you paid Octoclip in the 12 months before the claim arose and $100. This does not reduce amounts Octoclip collected and owes you as a payout or refund. These limits also protect Octoclip's officers, employees and contractors. A claim must be brought within 12 months after it arises.

  2. 7.2

You will defend, indemnify and hold harmless Octoclip and its officers, employees and contractors against all claims, losses and costs, including legal fees, arising from your content, products, collaborations, use of Octoclip, or breach of these terms or the law.

8Disputes with Octoclip

  1. 8.1

Email support@octoclip.io first; both sides then try to settle the dispute for 30 days. After that, any dispute between you and Octoclip is resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in English, seated where Octoclip has its registered office. Either side may instead use small claims court, or ask a court to stop misuse of its intellectual property or of Octoclip. The Federal Arbitration Act governs this section.

  2. 8.2

You and Octoclip bring claims only individually, never in a class, collective or representative proceeding, and waive any jury trial. If this waiver is unenforceable for a claim, that claim goes to court, not arbitration.

9General

  1. 9.1

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any court case belongs exclusively in the state and federal courts located in the State of Delaware. Octoclip may change these terms by telling you; using Octoclip after a change takes effect means you accept it. Octoclip may transfer these terms; you may not without its consent. These terms are the whole agreement between you and Octoclip. If a part is unenforceable, the rest stays in force.
